Terms and conditions

By registering for an account, creating or joining any Event on the Platform, each User and Participant (as defined below) acknowledges that they have the right, authority, and capacity to agree to these Terms & Conditions and accepts to be bound by them. These Terms govern all access to and use of the Sweepzy SaaS platform and related services.

Please read these Terms & Conditions ("Terms") carefully before using the Sweepzy SaaS platform ("Platform"). If you have any questions, contact us.


1. Definitions

  • Sweepzy: Sweepzy Limited, operator of the Platform.
  • User: An organisation or individual that registers for and creates Events on the Platform.
  • Participant: An individual who registers for and enters a User’s Event.
  • Event: A single event created by a User using the Platform.
  • License Fee: The one-time software licence fee charged by Sweepzy Software per Event.
  • Stripe Connect: The payment processing gateway which may be used for Participant payments and licence fee collections.

2. License & Fees

2.1 SaaS License. Subject to these Terms and timely payment of all fees, Sweepzy grants each User a non-exclusive, non-transferable license to access and use the Platform for the purpose of creating and managing Events.

2.2 License Fee. Users must pay a per-Event License Fee. License Fees cover Platform access, hosting, maintenance, and standard support. The License Fee is due either automatically via Stripe Connect at the time of the Event or by invoice within 30 days after the Event, as agreed.

3. Payments & Stripe

3.1 Participant Payments. Participants pay entry fees directly to Users through Stripe Connect. Stripe collects and disburses funds directly to the User’s Stripe account, after deducting its processing fees (as per Stripe’s current fee schedule) and Sweepzy's agreed licencing fee, transfers the net amount to the User’s Stripe account.

3.2 License Fee Collection. Sweepzy collects the agreed License Fee either at the time of each Event via Stripe Connect or by sending the User an invoice after the Event. Users agree to maintain valid payment details.

3.3 Refunds & Chargebacks. Users set and manage refund and chargeback policies for any created Event. Sweepzy is not responsible for resolving payment disputes between Users and Participants. Sweepzy will not mediate or be held liable for any disputes related to refunds or chargebacks between Users and Participants.

4. User Obligations & Compliance

4.1 Legal Compliance. Users are solely responsible for complying with all applicable laws, regulations, permits, and licenses related to running their Events in their jurisdiction.

4.2 Permits & Licenses. Before launching any Event, the User must obtain all required permits or licenses from relevant authorities. Sweepzy does not provide legal advice.

4.3 Data Protection. Users must process Participant personal data in compliance with privacy laws (e.g., GDPR) and maintain their own privacy policy. Users confirm they have the necessary consents or legal bases for processing Participant data. Sweepzy’s Privacy Policy governs Sweepzy’s data handling.

4.4 Content & Conduct. Users agree not to upload or promote illegal, infringing, or harmful content. Prohibited activities include, but are not limited to, spamming, harassment, fraud, and any other misuse of the Platform. Sweepzy reserves the right to remove or disable content that violates these Terms.

5. Confidentiality and Non-Disclosure

Both Sweepzy and the User may have access to confidential information of the other party. Confidential information includes, but is not limited to, Participant data, Event details, and any proprietary information disclosed during the use of the Platform. Both parties agree to protect such confidential information and not to disclose it to any third party without prior written consent, except as required by law.

6. Intellectual Property

All Platform software, code, designs, trademarks, logos, and documentation ("Sweepzy IP") are and remain the exclusive property of Sweepzy. Users are granted no rights to Sweepzy IP beyond the license to use the Platform. Users retain ownership of their own Event content and data.

7. Disclaimers & Limitation of Liability

7.1 No Warranty. The Platform is provided "as-is" and "as-available". Sweepzy expressly disclaims all warranties, whether express, implied, or statutory, including merchantability and fitness for a particular purpose.

7.2 Limitation of Liability. To the maximum extent permitted by law, Sweepzy’s total liability for any claim arising under these Terms shall not exceed the License Fees paid by the User for the specific Event giving rise to the claim.

8. Indemnification

Users shall defend, indemnify, and hold harmless Sweepzy and its officers, directors, employees, and agents from and against any third-party claims arising out of (a) the User’s breach of these Terms, (b) the User’s Event operations, or (c) User’s failure to comply with applicable laws.

9. Term & Termination

9.1 Commencement. These Terms commence when the User first registers an account on the Platform or otherwise accesses or uses any part of the Platform (whichever is earlier), and remain in effect until terminated as set forth herein.

9.2 Termination.

9.2.1 By Either Party for Cause. Either party may terminate these Terms, including User's access to the Platform and any active Event, immediately upon written notice if the other party commits a material breach of these Terms and fails to cure such breach within thirty (30) days of receiving written notice of the breach.

9.2.2 By User without Cause. A User may terminate these Terms by deleting their account at any time. Any active Events will be immediately closed, and no refunds will be issued for License Fees paid. Upon termination, Users are responsible for fulfilling any obligations to Participants, including refunds or event completion. Participant data will be handled in accordance with Sweepzy’s Privacy Policy.

10. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, or government actions. The affected party shall notify the other party as soon as possible and take reasonable steps to resume performance.

11. Modifications

Sweepzy may modify these Terms at any time by posting updated Terms on the Platform. Continued use after changes constitutes acceptance of the revised Terms.

12. Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Ireland. Any disputes shall first be attempted to be resolved through mediation before any legal action is taken.

13. Payment Processing and Financial Compliance

Users are responsible for complying with all applicable financial regulations, including anti-money laundering (AML) and know-your-customer (KYC) requirements. Users must provide accurate information for payment processing and are responsible for any taxes or fees associated with their Events.

14. Participants

  1. Participants are required to register on the Platform by providing their full name, email, and an encrypted confidential password which enables them to open an account and participate in the relevant Fundraising Sweepstakes and/or Non-Fundraising Sweepstakes.
  2. In order to enter Non-Free events, Participants under the age of 18 or residing in a country where participation is unlawful are not permitted to enter.
  3. Persons who are directors, officers, or employees of Sweepzy are not permitted to become Participants in any Event hosted on the Platform.
  4. Sweepzy is software only. It does not itself organise, promote, or operate any Events. Organisations and individuals (“Users”) license the Sweepzy software to create and run their own sweepstakes Events, which may be free to enter or require payment, and which may include prizes. Users are solely responsible for their Events, including eligibility criteria, rules, prizes, compliance, and any required permits or licences.
  5. Where an Event requires payment to enter, all Participants must be aged 18 years or older at the time of entry. Free-to-enter Events may be open to Participants who meet the eligibility criteria set by the User, subject to applicable law.
